Intellectual Property Policy

1. Ownership of Intellectual Property

Tekniam LLC owns or has licensed all intellectual property rights, including patents, trademarks, copyrights, trade secrets, and proprietary technology contained in or relating to our products and services. This includes, but is not limited to:

• The RUCS (Rapid Unified Communications System) product and all variants.
• Mesh networking technology, RF design, and digital signal processing algorithms.
• Software, firmware, and embedded systems controlling Tekniam devices.
• Documentation, whitepapers, datasheets, and technical specifications.
• Brand identity, logos, trademarks, and marketing materials.
• Customer designs, configurations, and deployment methodologies.

2. Patent Protection

Tekniam holds multiple U.S. and international patents covering portable broadband mesh networking technology, RF propagation optimization, power efficiency innovations, and deployment methodologies. Patent numbers and status information are available upon request.

Patent Enforcement: Tekniam actively enforces its patent portfolio against unauthorized manufacture, use, or sale of infringing products. Unauthorized reverse engineering or patent design-around attempts without proper licensing may subject you to civil and patent infringement liability.

You acknowledge that your access to Tekniam products does not grant you any license to our patents except as explicitly stated in a separate written license agreement.

3. Trademarks

3.1 Tekniam Trademarks

The following trademarks and service marks are owned by Tekniam LLC and protected under U.S. and international trademark law:

• "Tekniam" - word mark
• "RUCS" - word mark
• "Rapid Unified Communications System" - descriptive mark
• Tekniam logos and design marks
• Product names and variant designations (RUCS-PCL, RUCS-DM, etc.)

3.2 Trademark Use Restrictions

You may not use Tekniam trademarks without prior written consent, except in factual references (e.g., "Compatible with RUCS systems"). Prohibited uses include:

• Using Tekniam marks as your own trademark or brand.
• Creating confusingly similar marks.
• Using marks in a way that suggests endorsement or affiliation without authorization.
• Using marks in domain names, social media handles, or product names without consent.
• Registering Tekniam marks or confusingly similar marks.

3.3 Trademark Usage Guidelines

If you are an authorized distributor or partner and wish to reference Tekniam marks, use them in the following manner:

• Always use the mark with the proper trademark notice (® for registered, TM for unregistered).
• Use marks in connection with the actual Tekniam product or service.
• Do not modify or combine marks with other elements.
• Maintain proper spacing and sizing as specified in our brand guidelines.
• Request approval for use in marketing materials or product branding.

4. Trade Secrets and Confidential Information

4.1 Definition of Trade Secrets

Tekniam's proprietary information includes:

• Product design specifications and technical architecture.
• Manufacturing processes, materials, and assembly techniques.
• Software algorithms, source code, and compilation techniques.
• Test data, performance metrics, and reliability information.
• Cost structures, pricing strategies, and sales methodologies.
• Customer lists, deployment locations, and operational use cases.
• Roadmaps, future product plans, and strategic initiatives.

4.2 Protection of Trade Secrets

Tekniam implements strict safeguards to protect its trade secrets, including:

• Confidentiality agreements with employees and contractors.
• Controlled access to proprietary facilities and information.
• Encryption and security measures for electronic data.
• Non-disclosure requirements for partners and authorized users.
• Legal enforcement against misappropriation.

4.3 Your Obligations

If Tekniam discloses confidential information to you, you agree to:

• Maintain strict confidentiality and limit disclosure to authorized personnel.
• Use confidential information solely for the authorized purpose.
• Return or destroy confidential information upon request or termination.
• Not reverse engineer, disassemble, or attempt to derive the underlying technology.
• Maintain confidentiality obligations indefinitely.

5. ITAR-Controlled Technology

5.1 ITAR Classification

The following Tekniam products and information are ITAR-controlled:

• RUCS hardware devices (all variants and versions).
• Technical data including performance specifications, RF characteristics, and design documentation.
• Software firmware and operating system code.
• Manufacturing drawings, schematics, and assembly procedures.
• Test data and performance metrics.
• Training materials and operational procedures specific to defense applications.

5.2 Authorized End-Use Only

ITAR-controlled products are licensed exclusively for authorized defense, emergency response, and government agency applications within the United States. End-users certify that they will:

• Not export or re-export products without State Department authorization.
• Not transfer or resell to unauthorized parties.
• Not use for prohibited end-uses (weapons development, proliferation activities).
• Comply with all U.S. export control regulations.
• Notify Tekniam of any unauthorized access or suspected violations.

5.3 Technical Data Restrictions

Access to ITAR-controlled technical data is limited to U.S. citizens and permanent residents with security clearances or authorized need-to-know. Technical data may not be:

• Disclosed to foreign nationals without State Department authorization.
• Published or presented at conferences without prior approval.
• Discussed with employees or contractors who lack U.S. citizenship.
• Stored in non-secure locations or unsecured digital systems.
• Discussed or transmitted outside the United States.

5.4 Violations and Penalties

Violations of ITAR restrictions may result in:

• Criminal prosecution by the U.S. Department of Justice.
• Civil penalties up to $300,000 per violation.
• Criminal penalties up to 20 years imprisonment and $1,000,000 fines.
• Debarment from U.S. government contracting.
• Loss of export privileges and trade sanctions.
• Immediate termination of Tekniam license and services.

6. Copyright and Creative Works

All text, graphics, software code, audio and video materials on our website and in our documentation are protected by U.S. copyright law. You may not reproduce, distribute, perform, display, or create derivative works from copyrighted materials without prior written consent, except for personal, non-commercial use of unprotected content.

Unauthorized copying or distribution of our software, firmware, documentation, or creative works constitutes copyright infringement and is subject to civil and criminal liability.

7. Right of Publicity

If you are an authorized customer, Tekniam may reference your company name, logo, or deployment story in marketing materials, case studies, and presentations. If you wish to restrict such use, please notify us in writing. We will respect reasonable requests to protect operational security or competitive sensitivity.

8. License Limitations

If you purchase or license Tekniam products or software, your rights are strictly limited to:

• Use of the product or software in accordance with documentation provided.
• Installation on authorized devices or systems.
• Internal business use (no resale without explicit authorization).
• Permitted end-uses as specified in your license agreement.

You may not:

• Copy, modify, or create derivative works.
• Reverse engineer, disassemble, or decompile software.
• Remove copyright, trademark, or patent notices.
• Transfer or sublicense to third parties.
• Use for commercial service offerings (SaaS, resale, etc.).
• Export outside the United States (ITAR/EAR compliance required).

9. Infringement Claims and Indemnification

Indemnification: Tekniam will defend and indemnify you against third-party claims that authorized use of Tekniam products infringes upon U.S. patents, copyrights, or trademarks, provided that you:

• Notify Tekniam promptly of the claim.
• Grant Tekniam sole control of the defense and settlement.
• Provide reasonable cooperation in the defense.
• Have not modified products or combined them with non-Tekniam items in a manner that creates the infringement.

Tekniam's sole liability is to obtain the right for you to continue using the products, or replace/modify them to make them non-infringing.

10. Enforcement and Remedies

Tekniam reserves the right to enforce its intellectual property rights through all available legal means, including:

• Cease and desist letters.
• Litigation for injunctive relief and damages.
• Criminal prosecution for trade secret misappropriation or copyright infringement.
• Participation with law enforcement and regulatory agencies.
• Revocation of licenses and termination of business relationships.

11. Third-Party IP Rights

Tekniam's products and services may incorporate third-party open-source software, licensed components, or patented technologies. Use of such components is subject to their respective licenses (GPLv2, MIT, Apache 2.0, etc.). Tekniam provides attribution and license information upon request. Open-source license obligations do not apply to Tekniam's proprietary technology.

12. Changes to IP Rights

Tekniam's intellectual property portfolio, product designs, and protected technologies continue to evolve. This policy may be updated to reflect new patents, trademarks, trade secrets, and ITAR classifications. Updates will be posted to this page with an updated effective date.

13. Reporting IP Violations

If you have evidence of intellectual property infringement, trade secret misappropriation, or violations of this policy, please report it immediately to:

Reports will be investigated promptly and treated confidentially to the extent permitted by law. Tekniam will not take adverse action against individuals who report violations in good faith.

14. Governing Law

This Intellectual Property Policy is governed by the laws of the State of Delaware and U.S. federal law, including the Patent Act (35 U.S.C.), Copyright Act (17 U.S.C.), Trademark Act (15 U.S.C.), Trade Secrets Act (18 U.S.C. § 1839), and ITAR (22 CFR Parts 120-130).
