3.1 Export Restrictions

• Entities on the U.S. Treasury Department's Specially Designated Nationals (SDN) list.
• Entities on the Commerce Department's Entity List or Denied Persons List.

3.2 End-Use Restrictions

You certify that you will not use our products or services for:

4. Limitation of Liability

ITAR Controlled Technical Data: Certain technical data, product specifications, and performance characteristics constitute ITAR-controlled technical data or defense articles. These materials are provided only to authorized end-users and may not be re-exported, re-disclosed, or transferred without U.S. State Department authorization.

6. User-Generated Content

If you submit comments, feedback, testimonials, or other content to Tekniam, you grant us a worldwide, royalty-free, perpetual license to use, reproduce, modify, and distribute such content for business purposes. You represent that you have the right to grant this license and that your content does not infringe on third-party rights.

These Terms of Use are governed by the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for resolution of any disputes.

Export Control Jurisdiction: Notwithstanding the above, export control violations may be prosecuted under U.S. federal law by the Department of Justice or relevant enforcement agencies.

12. Dispute Resolution and Arbitration

Any dispute arising from these terms (except export control violations or intellectual property claims) shall first be subject to good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by JAMS under its Comprehensive Arbitration and Mediation Rules. Arbitration shall be conducted in Wilmington, Delaware.

Class Action Waiver: You agree to arbitrate only on an individual basis and waive the right to participate in class action lawsuits or claims.

13. Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

14. Entire Agreement
